1. Who we are
RockiesOS is a hotel management platform operated by Webzir Inc. ("RockiesOS", "we", "us", "our"). These Terms form a binding agreement between you (the "Customer", "you") and RockiesOS. They incorporate our Privacy Policy and Cookie Policy by reference.
2. Definitions
- Service means the RockiesOS platform, applications, websites, APIs, and related tools we make available, including this marketing site and the free calculators.
- Customer Data means the data you and your authorized users submit to or generate in the Service, including bookings, guest records, invoices, and staff records.
- Authorized Users means your staff and others you permit to access the Service under your account.
- Subscription means your paid plan for the Service.
3. Accounts and eligibility
You must be at least 18 and able to form a binding contract to use RockiesOS. You are responsible for the accuracy of your account information, for all activity under your account, and for keeping your credentials secure. Notify us promptly of any unauthorized use. You are responsible for your Authorized Users' compliance with these Terms.
4. The Service
RockiesOS provides software to run hotels and lodging businesses, including front desk, bookings, channel management, accounting, marketing, guest-facing websites and portals, and related features. We may add, change, or remove features over time. We provide the Service to you, the hotel; RockiesOS is not a party to any transaction between you and your guests.
5. Fees, billing, and renewal
- Pay at signup. Getting started requires a one-time setup fee (currently $299) plus your first subscription period, charged when you activate your subscription. There is no free trial.
- Recurring subscription. Your Subscription renews automatically each billing period at the then-current rate for your plan until cancelled. Founding customers keep their founding rate for as long as they remain continuously subscribed.
- Credits. Certain AI and external-data features are billed using credits, which are purchased separately and consumed as used. Credits are non-refundable and may expire as described at purchase.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on our income.
- No refunds. Setup fees, subscription fees, and credits are non-refundable except where required by law.
- Payment. You authorize us and our payment processors to charge your payment method for all fees due. If a charge fails, we may suspend the Service until payment is resolved.
6. Free tools and calculators
Our free calculators and the visibility audit are provided for general information only, on an "as is" basis. Their outputs are estimates and do not constitute financial, legal, or professional advice. Do not rely on them as your sole basis for business decisions.
7. Your data and ownership
As between you and RockiesOS, you own your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service and as instructed by you. For data relating to your guests and staff, you are the controller and RockiesOS acts as your processor; you are responsible for having the rights and notices needed to provide that data to us. 8. Acceptable use
You agree not to:
- use the Service unlawfully or to store or transmit unlawful, infringing, or harmful content;
- attempt to gain unauthorized access to the Service or its systems, or probe, scan, or disrupt them;
- reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
- send spam or unsolicited messages in violation of applicable anti-spam laws;
- misuse credits, AI features, or APIs, or exceed documented rate limits; or
- use the Service to build a competing product.
9. Third-party services and integrations
The Service integrates with third parties (for example, payment processors, channel managers, accounting tools, and messaging providers). Your use of those services is governed by their terms, and we are not responsible for them. Connecting a third-party service authorizes us to exchange data with it as needed to provide the integration.
10. AI features
Some features use artificial intelligence to generate suggestions, drafts, copy, pricing recommendations, and analysis. AI output can be inaccurate or incomplete. You are responsible for reviewing AI output before relying on or publishing it. AI features are billed in credits as described above.
11. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by RockiesOS and its licensors and is protected by intellectual-property laws. We grant you a non-exclusive, non-transferable right to use the Service during your Subscription, subject to these Terms. We may use aggregated, de-identified data that does not identify you or any individual to operate and improve the Service.
12. Confidentiality
Each party may access the other's confidential information. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.
13. Availability and support
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and will aim to give advance notice of significant planned downtime. Support is provided through the channels listed on our site and at support@rockiesos.com.
14. Term and termination
These Terms apply while you use the Service. You may cancel future renewals at any time from your billing portal; cancellation takes effect at the end of the current billing period, and you retain access until then. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends. You may export your Customer Data before termination; after a reasonable retention window we may delete it, subject to legal requirements.
15. Disclaimers
The Service and all free tools are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will meet your requirements or that results, estimates, or recommendations will be accurate.
16. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to liability that cannot be limited by law.
17. Indemnification
You will defend and indemnify RockiesOS against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your products and services offered to guests.
18. Governing law and disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Alberta will have exclusive jurisdiction, and each party consents to that jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
19. Changes to the Service and these Terms
We may update the Service and these Terms from time to time. If we make material changes to these Terms, we will post the updated version here with a new "last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
20. General
These Terms, together with the policies referenced in them, are the entire agreement between you and RockiesOS regarding the Service. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be sent to your account email; notices to us should go to support@rockiesos.com.
